These Terms of Service (“Terms”) are an agreement between you and Select Sourcing Solutions LLC, San Antonio, Texas, United States (“BEAM NOTE”, “we”, “us”). They govern your use of the BEAM NOTE browser extension, the website at beamnoteapp.com, and any related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the involvement of a parent or guardian. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind it to these Terms.
You need an account to use the Service. You sign in with an email address and password or with Google. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us at support@beamnoteapp.com right away if you believe your account has been accessed without permission.
“Content” means the notes, comments, replies, keywords, page addresses, and attached images and files you create or upload through the Service.

Reporting abuse. If someone shares Content with you that breaks these rules, email support@beamnoteapp.com with the sender's email address and what you saw. We review reports and may end the share or suspend the account. You can also decline an invitation, or leave a share at any time.
The Service overlays your Content on web pages you visit. It does not modify those websites and is not affiliated with or endorsed by them. Web pages change; we make reasonable efforts to keep your Content attached to the right element, but we cannot guarantee it on every page.
The Service relies on third-party providers (listed in our Privacy Policy). Your use of Sign in with Google and of Stripe checkout is also subject to those providers' terms.
Our Privacy Policy at beamnoteapp.com/privacy explains what information we collect and how we use it. By using the Service you agree to it.
The Service, including its software, design, name and logo, is owned by us and protected by intellectual property laws. These Terms give you a personal, non-transferable, revocable license to use the extension for its intended purpose. All rights not expressly granted are reserved.
If you send us suggestions or feedback, you agree that we may use them without obligation to you.
We respect intellectual property rights. If you believe Content shared through the Service infringes your copyright, send a notice to support@beamnoteapp.com with: a description of the copyrighted work; where the material is located; your contact details; a statement that you believe in good faith the use is not authorized; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We will remove or disable access to the material and may terminate the accounts of repeat infringers, in accordance with the Digital Millennium Copyright Act.
You may stop using the Service and delete your account at any time by emailing support@beamnoteapp.com. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service; in the last case we will give reasonable notice and a way to export your Content. Sections 3 (license to shared copies), 12, 13, 14 and 15 survive termination.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT CONTENT WILL NEVER BE LOST. KEEP YOUR OWN COPIES OF ANYTHING IMPORTANT.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US $50 IF YOU HAVE PAID NOTHING. Some jurisdictions do not allow these limitations, in which case they apply to the extent permitted.
You agree to defend and indemnify us against claims, damages and expenses (including reasonable attorneys' fees) arising from your Content, your use of the Service, or your breach of these Terms.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Bexar County, Texas, and you consent to their jurisdiction. If you are a consumer in the European Union or United Kingdom, you keep the protections of the mandatory laws of your country of residence.
Before filing a claim, please email support@beamnoteapp.com; most issues can be resolved quickly and informally.
We may update these Terms. The effective date at the top shows when they last changed. For material changes we will notify you in the extension or by email before they take effect. Continued use after the change means you accept the new Terms.
These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service. Severability: if any part is held unenforceable, that part is enforced to the extent permitted and the rest remains in effect. Assignment: you may not assign these Terms; we may assign them as part of a merger or sale of the business. Waiver: our failure to enforce a provision is not a waiver of it. Force majeure: neither of us is liable for delay or failure caused by events beyond our reasonable control, such as natural disasters, outages of internet or hosting infrastructure, or acts of government. Export: you agree to comply with applicable export and sanctions laws in your use of the Service.
